Service description

This service supports EIC beneficiaries in preparing and executing equity fundraising rounds. F.INSTITUTE acts as an embedded financial partner, guiding companies through the full capital raising lifecycle, from investment narrative development to deal closing. The service includes: Phase 1: Preparation: Investment materials (pitch deck, investment memorandum, teaser), Financial modelling and valuation (rNPV, VC method, comps), Investor longlisting and outreach strategy, and virtual data room setup. Phase 2: Execution: Cap table structuring and scenario analysis, Investor outreach and syndicate formation, Due diligence coordination and Q&A, and term sheet negotiation. Phase 3: Closing: Bid solicitation and syndicate management, Final negotiations and documentation, and Post-investment support. The expected outcomes of the project are investor-ready documentation, strategic positioning, and access to a curated investor network.

Financial requirements

Monthly retainer: €4000 - €6000 ex VAT, depending on the risk profile of the funding round. The price will be set prior to engagement.
Completion fee: 5% on first €3M raised, 4% on €3–6M, 3% on €6–10M, 2% on €10–15M, and 1% above €15M.

Disclaimer related to service

This service requires a minimum engagement of 6 months. Tail period of 18 months applies post-engagement. Applicants are subject to fundraising readiness assessment.
