Service description

SPV Structuring and Fundraising Enablement service provides a turnkey SPV structuring and fundraising tailored to early-stage, founders, investors and ecosystem enablers across Europe. The service targets: Founders, investors, business angels clubs and funds. The service provides support to tech startups in sectors such as deeptech, SaaS, fintech, healthtech, and other innovation-driven industries all over the world. The goal of the service is to enable compliant, quick and cost-efficient investment vehicle creation, allowing founders to group investors to pool capital and invest in startups without setting up their own legal infrastructure.

The service is delivered in the following phases:
1. Pre-structuring phase (1 week): Validation of eligibility, investor strategy, and investment vehicle type.
2. SPV creation (1–2 weeks): Legal documentation, onboarding flows, banking setup.
3. Fundraising phase (1–2 weeks): Investor onboarding, e-signatures, fund collection, and share issuance.
4. Post-closing support (ongoing): Reporting tools, cap table updates, investor communication support. Key activities of ther service include: Legal structuring (SAS, SC, SCSp), Investor onboarding and KYC, Investment workflow automation, Document generation and compliance monitoring. All experts involved are in-house legal and fund structuring professionals.

The service is delivered via Roundtable’s secure digital platform, with human support provided asynchronously via email or call at key milestones.
The service typically runs over 2 to 8 weeks, depending on the fundraising timeline and legal setup.

Roundtable's pricing covers up to 20 investors on the SPV. If more than 20 investors we charge €100 per investors (excluding VAT). EIC Startups willing to use Roundtable service's can reach out to sales@roundtable.com specifying that they are EIC Startups.
