Service description

This service supports technology and deep-tech companies in aligning shareholders, management teams, and key stakeholders ahead of a capital raising or strategic transaction. It is designed to clarify expectations, reduce misalignment, and ensure that all decision-makers are aligned on key strategic and financial topics before engaging with investors or transaction counterparties. The service is particularly relevant for companies with multiple shareholders, external investors, or complex ownership structures, and is aimed at founders, management teams, board members, and existing shareholders. Delivered over a typical period of 2 to 4 weeks, the service begins with a stakeholder assessment phase, involving structured discussions to understand the perspectives, expectations, and potential areas of misalignment among key stakeholders. This is followed by an alignment and structuring phase, where gaps and risks are identified and addressed through the development of governance frameworks and decision-making processes. In the final phase, the service prepares the company for investor or transaction discussions by ensuring clarity on valuation expectations, financing strategy, ownership structure, and transaction objectives. Throughout the engagement, beneficiaries participate in structured interviews, facilitated discussions, and targeted workshops, supported by in-house corporate finance experts, with the optional involvement of external advisors where appropriate. The service is delivered either remotely or on-site, depending on the company’s needs, and is tailored to the specific governance and ownership context of each beneficiary. As a result, beneficiaries achieve alignment across shareholders and management, establish clear positions on key transaction parameters, strengthen governance and decision-making processes, and reduce friction during capital raising or strategic transaction execution.
