This service offers targeted support in mergers, acquisitions, and capital transactions for innovative SMEs and scale-ups seeking strategic growth, exit opportunities, or funding. It is designed for companies in sectors such as healthtech, industrial technologies, digital, and cleantech.

The service typically spans 3 to 9 months and includes three main phases: 
1. Preparation Phase: In-house experts conduct strategic and financial analysis to align the transaction with the company’s objectives. Key deliverables include a valuation, financial plan, teaser, and Information Memorandum. 
2. Market Engagement Phase: The team identifies and reaches out to a curated list of investors, buyers, or targets, based on the specific profile and stage of the company. Communication and negotiation strategies are tailored to enhance positioning and maximise deal interest. 
3. Transaction Support Phase: Experts guide the beneficiary through investor calls, due diligence, and term sheet negotiation, ensuring informed decision-making and optimal deal structure. Activities are delivered by in-house M&A and corporate finance advisors, with the option to bring in sector-specific experts from our network if needed. The goal is to prepare beneficiaries to attract the right investors or partners, ensure professional execution of the process, and increase transaction success. Services can be delivered online or hybrid depending on the company’s needs and timeline. The expected outcome is a professionally managed M&A or capital raising process that results in strategic growth or funding aligned with long-term goals.

Financial requirements

The service is provided under a hybrid fee model combining a fixed and a success-based component. The fixed fee ranges from €15,000 to €25,000 depending on the complexity, scope, and maturity of the company. In addition, a variable success fee is applied, ranging from 4% to 6% of the total capital raised or transaction value. This structure ensures alignment of interests and reflects the value generated through successful execution.
