This service supports EIC Pathfinder and Transition beneficiaries in the agrifood, biotech, and bioeconomy sectors who are preparing to create or formally structure a science-based spin-off. It is designed to transform a validated technology into an investable venture with a clear business model, defined ownership structure, and a credible path to capital. Delivered by in-house venture architects and senior advisors with direct experience in deep-tech company creation, IP structuring, and early-stage investment preparation, the service provides structured, hands-on support across the early stages of venture development. The engagement begins with a technology-to-venture assessment, including a structured diagnostic of the technology, market application, team composition, and intellectual property landscape, resulting in an opportunity assessment report. This is followed by a venture design phase, where the business model, value proposition, market positioning, ownership structure, and governance framework are defined in collaboration with the founding team. In the investment readiness structuring phase, the company is prepared for initial investor interactions through the development of a funding strategy, cap table logic, and data room structure. The service concludes with a validation and roadmap phase, delivering a consolidated 18-month venture development plan and identifying key funding milestones. The service is delivered through a hybrid model combining remote sessions and in-person workshops, and is available in English and Spanish. Beneficiaries gain a structured, investor-ready spin-off with clearly defined strategic, operational, and financial foundations, enabling them to engage with investors and advance towards commercialisation and scale-up.
Standard advisory rate: €1,200/day. EIC beneficiaries receive a 20% preferential discount (effective rate: €960/day). An initial diagnostic session of up to 4 hours is offered free of charge to assess project fit. Equity-based arrangements are available for selected projects where Ivoro co-creates the spin-off (typically 2–5% in the newly created entity). No upfront retainer required for exploratory engagement.
Engagement is subject to a mutual fit assessment and the signing of a NDA prior to formal onboarding. Availability is limited and depends on capacity within each service cycle. Timelines may be adapted based on the maturity of the beneficiary and the readiness of the team. Any potential equity arrangements are defined separately and are not included in the standard service agreement.
